RESERVING DATES, RENTAL FEES, DEPOSITS AND REFUNDS: One half of Facility Rental is due upon reservation of event date. This payment secures your date. Balance of rent is due in a second payment. Damage deposit plus any additional fees are due 7 days prior to event date. If a reservation is cancelled more than 6 months prior to scheduled event, a refund, less $100 will be awarded only if (i) Renter and Henry’s Garage mutually agree to an alternative date for the event, or (ii) the date is reserved by another party; otherwise the deposit will be forfeited in full. We will make a good faith effort to re-book the date.
CANCELLATION: It is agreed by both parties that this agreement shall not be cancelled without good and reasonable cause. In the event Premises herein or any portion of premises are not available for occupancy upon commencement or during the terms of this agreement due to fire, casualty, acts of God, strikes, national emergency or other cause beyond the control of Henry’s Garage, LLC, this agreement and the obligations of either party hereunder shall terminate, and claims are waived. Any portion of the rent due shall abate, or if previously paid, shall be promptly refunded. ASSIGNMENT: Renter shall not: (a) assign this lease, (b) sublet any part of the premises without written consent of Henry’s Garage LLC, (note, this provision DOES NOT apply to prohibit Renters exhibitors in case of a trade show or consumer event), (c) allow any use of the premises other than herein specified, or (d) allow anything to be brought onto the premises or permit any act which will endanger persons or property on the premises. RELATIONSHIP: Nothings in this Agreement shall be construed to create a partnership, employer/employee relationship or any other relationship than that of Landlord/Tenant. TERMINATION: If Renter defaults in payment or in any obligation, this Agreement is terminated. INSURANCE: Renter shall obtain and maintain during the time period of the event, general liability insurance coverage, naming Henry’s Garage, LLC, as an additional insured comprehensive general liability insurance against any loss or liability for damages and any expenses of the parties against any claim for damages which might result from the use, occupation or condition of the Premises (12 Garden, 50 Garden, Outdoors) which insurance shall be primary as to any claim for damages described in the preceding clause, and in such amount or amounts as shall not be less than is customary and usual for operations of the type, character and scope to be carried on by Lessee on the Premises, but in no event in amounts affording protection of less than $1,000,000 per occurrence, $2,000,000 aggregate. In addition, Renter shall obtain and maintain at all times during the term hereof, with a responsible insurer, workers’ compensation coverage, or obtain independent contractor exception certificates or other proof of coverage, covering all persons employed by Renter, whether as employees or independent contractors of Renter. Proof of coverages required hereunder must be provided to the Henry’s Garage Event Manager upon payment of 2nd half of facility rent. INDEMNITY: Renter agrees to indemnify and save Henry’s Garage, LLC, harmless from and against all claims for or on account of damages to property or injuries (including death) to persons arising out of Renter’s use and occupancy of Premises. Henry’s Garage, LLC, shall not be liable to Lessee or any 3rd party for any Page 3 of 4 damage or injury (including death) to persons or property resulting from any defect in the Premises or the improvements thereon. HENRY’S GARAGE ACCESS: Renter agrees that authorized agents of Henry’s Garage shall at all times, without interruption, have free access to the premises. ALCOHOLIC BEVERAGES: Henry’s Garage, LLC, does not own a wine, beer, or liquor license. If such beverages are to be served. Renter must obtain a special one-time permit for the rental period if Caterer does not own such a license. Renter shall be solely responsible for compliance with all applicable requirements of the Montana Alcoholic Beverage Code and Renter shall indemnify and hold Henry’s Garage, LLC, harmless from any liabilities, claims, or damages including attorney fees and costs, arising from a violation of the Montana Codes by Renter or its agents. No outside, unpermitted alcohol is allowed on Premises. FOOD: Renter shall independently contract and pay for all necessary services such as catering, beverage service and additional equipment. Henry’s Garage, LLC, staff is not available to Renter or Caterer to assist with wait service, food service, or event execution. Renter is responsible for all catering arrangements and a list of approved Caterers is available from Event Manager. All caterers must hold all applicable licenses or permits and supply proof of compliance to Event Manager if requested. All caterers and service providers must provide the following proof of insurance and agree to the same provisions that apply to Renter. Commercial General Liability Insurance - $1,000,000 per occurrence, $2,000,000 aggregate, with Henry’s Garage, LLC, listed as an additional insured and workers’ compensation coverage or independent contractor exemption certificates. It is the responsibility of Renter to inform service providers of the Proof of Insurance provisions. Other outside vendors such as rental companies, bands, and performers are also required to provide Proof of Insurance with Henry’s Garage, LLC, listed as an additional insured as owner of Premises. CLEAN-UP: Renter is responsible that all service providers such as catering, beverage service, and subcontractors comply with cleaning guidelines. ALTERATIONS: No alterations, additions, or improvements shall be made by Renter, including caterers, except with written consent of Event Manager. See appendix for Decorating Guidelines. DAMAGE/EXCESSIVE CLEANING DEPOSIT: Damage deposit will be returned to Renter within 7 days following event, less any costs for damage done to facility as a result of the event. Damage will be charged at replacement cost plus labor. If excessive cleaning is required, it will be billed at an hourly rate. HOURS OF USE: Daily rental fees cover the day of event up to midnight. Use of building for set up prior to event may be possible based upon availability. NOISE LEVEL: Music and sound levels must be maintained within local noise ordinances. FINAL ARRANGEMENT: All plans and logistics are to be in place, approved and confirmed with Event Manager at least 7 days prior to the event. Last minute changed must be approved by Manager. SMOKING: All enclosed areas of property are NON-SMOKING. Smoking is permitted outdoors where smoking receptacles are provided. Should cigarette, cigar butts or other trash liter Premises, additional cleaning charges will apply. ADDITIONAL INSTRUCTIONS, INFORMATION OR AGREEMENTS AFFECTING THIS LEASE AGREEMENT: Time is of the essence regarding this Facility Use Agreement, and the time granted shall not be extended for occupancy or use of Premises or for installation or removal of equipment without prior permission. All additional time shall be paid for according to Henry’s Garage, LLC fee schedule.<br> This contract constitutes the entire agreement between the parties, and no statement, promises, or inducements made by either party or their respective representatives that are not contained in this contract shall be valid or binding. This contract shall not be modified except by written document signed by both Renter and a representative of Henry’s Garage, LLC.
